Your use of this website after the posting of the revisions will constitute your acceptance of such changes or modifications.  Certain services on our websites may be subject to additional terms, or terms that supersede these ones.  For purchase of our training courses and materials, please see “Additional Terms” below.

You may not use our sites and services if you are under the age of 18 or you are not able to enter into legally binding contracts.

You may access our website without registering your details with us. Certain areas of our website will only be available to you if you register, however.

You hereby indemnify and agree to defend and hold harmless BSI, its contractors, service providers and consultants, and their respective directors, employees and agents, from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to any material you post, store or otherwise transmit on or through our website or your use of or inability to use our website, including without limitation any actual or threatened suit, demand or claim made against BSI and/or its contractors, service providers, employees, directors or consultants, arising out of or relating to the material, your conduct, your violation of these Terms of Use or your violation of the rights of any third party.

Our liability for infringement of third-party intellectual property rights shall be limited to breaches of rights subsisting in India.

If your use of material on our website results in the need for servicing, repair or correction of equipment, software or data, you assume all costs of such servicing, repair or correction.

Nothing in these terms and conditions shall affect your statutory rights.

General

This Agreement set forth the entire agreement between us in relation to the subject matter hereof and supersede any prior terms and conditions.

These terms and conditions shall be governed by and construed in accordance with the laws of India. Disputes arising in connection with these legal notices shall be subject to the exclusive jurisdiction of the courts of New Delhi alone and no other courts shall have the jurisdiction to entertain and try ant disputes or matters relating to this agreement, the subject matter thereof including the Training Courses.

Additional Terms

The following terms are part of the general terms and conditions and relate to our supply of BSI training courses and/or use training materials ("Training Courses" and "Training Materials" respectively), which includes printed materials (“Documentation”).

Important notice: Please read carefully before buying training courses or accessing or downloading any training materials from this website:

By clicking on the "purchase" button on your event page, you agree to these terms which will bind you and (if you are an employer) your employees.

1. The product - a description

We describe our products as:

  • an Instructor Lead Training [ILT] course wherein delegates are required to attend a location where an instructor delivers the training;
  • Distance Learning Training [DLT] course wherein delegates can book the product online. With distance learning BSI will send learning materials to the delegate for completion on receipt of full payment
  • Blended Learning Training [BLT] course for which a course is delivered using a combination of the above (a) and (b) delivery methods.

Please note that we reserve the right to change the course content of any Training Course at any time and without notice.

2. The sale

The purchase of Training Courses and Training Materials are subject to the following:

  • the prices set out for the relevant product on our website; and
  • the receipt of the entire payment by us at least 10 days prior to the commencement of the relevant Training course.

The purchase of the Training Courses and Training Materials includes the granting of a non exclusive, non-transferable licence to use the Training Materials and the Documentation on the terms set out below.

We take no responsibility for any delay or any failure in sending you the invoice once you have registered for the Training Course nor do we take responsibility for ensuring receipt of the payment sent by you. You acknowledge and understand that your participation in the Training Course is subject to receipt and realisation by us of the fees in full for the relevant Training Course for which you have registered. We are not responsible for informing you of any non-receipt of the fees by us (whether before or after we sent you the invoice) for any reason including due to non-payment of the cheque by your bank for any reason.

We shall not be responsible for your inability to participate in any particular Training Course due to inability to register for the course in time including due to failure or non-availability of our website.

3. The licence

All ILT, DLT and BLT customers are granted the right to possess Training Materials and Documentation provided to you in accordance with these additional terms and to only use such Training Materials and Documentation in conjunction with the attendance of the relevant Training Course and as otherwise specified in these additional terms, provided that only the customer or delegate that received the Training Materials and/or Documentation may make such use of them.

Unless otherwise notified by BSI, Training Materials and Documentation will be delivered to you as follows:

  • for ILT customers, at the venue where the Training Course is conducted;
  • for DLT customers, provided to you at the time and method specified by BSI upon registration for the Training Course; and
  • for BLT customers, as appropriate, depending on whether ILT or DLT delivery methods are being followed.

4. Licensee's undertakings

Except as expressly set out in this Licence you undertake (and you undertake to procure that your employees or any other delegate attending a Training Course on your behalf or on your account so undertakes):

  • not to copy the Training Materials or Documentation except where such copying is incidental or necessary for the purposes of completing the relevant Training Course;
  • not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Training Materials or Documentation;
  • not to alter, or modify, the whole or any part of the Training Materials or Documentation, nor permit the Training Materials or any part of them to be combined with, or become incorporated into, any other materials;
  • to supervise and control use of the Training Materials and Documents and ensure that they are used by your employees and representatives in accordance with the terms of this Licence;
  • to include the copyright notice of BSI on all entire and partial copies you may make of the Training Materials or Documents on any medium;
  • not to provide or otherwise make available the Training Materials or Documentation in whole or in part, in any form to any person without prior written consent from BSI.

Without prejudice to any of our remedies and notwithstanding the dispute resolution provisions set out in these terms and conditions and to the fullest extent permitted by applicable law, you agree that in the event you breach any of your obligations as described above, you shall forthwith, without any action or formality being required, become liable to us for liquidated damages, being an immediate due and payable amount of Indian Rupees 20,000 for each such breach, and a further payment of Indian Rupees 5,000 for every day such breach continues.  The parties acknowledge and agree that the liquidated damages set out in this provision are not a penalty and are a genuine pre-estimate of loss to be suffered by us a result of your breach.

5. Transfers and cancellation of training courses

Customers /Delegates may transfer their registration for one course to another course up to 21 working days prior to the original course date. Once a customer/delegate has transferred no refunds can be made for the cancellation of either course. Only one transfer by any customer/delegate may be made.

If you cancel a Training Course: - all cancellations must be made no later than 25 working days before the start of relevant Training Course. We will only accept cancellations that are made in writing. If a delegate fails to attend a Training Course, or a cancellation is sought within the 25 days prior to the start of such course, full payment will be required.

No refunds shall be given for the cancellation of DLT and BLT courses no matter when cancellation is notified to us.

If we cancel a Training Course, or change course content: - we reserve the right to cancel a Training Course or change course content at any time, without incurring any additional liability to you or any delegate. In such circumstances, we will at our option offer alternative dates or a full refund or a credit note.

6. Intellectual property rights

You acknowledge that all intellectual property rights in the Training Materials and the Documentation anywhere in the world belong to us, that rights in the Training Materials and the Documentation are licensed (not sold) to you, and that you have no rights in, or to, the Training Materials or the Documentation other than the right to use them in accordance with the terms of these Additional terms.

7. BSI’S liability

The liability of BSI for all loss directly resulting from the use of, or inability to use, its website is limited to Indian Rupees 20,000 . These terms set out the full extent our obligations and liabilities in respect of the supply of the Training Courses, Training Materials and Documentation. In particular, there are no conditions, warranties, representations or other terms, express or implied, that are binding on us except as specifically stated in this Licence.

We do not make any representation in respect of the course content or its fitness for a particular purpose or a specific requirement that you may have. You shall be required to ascertain the applicability and the suitability of the course before purchasing the same.

8. Terms of payment

On booking a Training Course, we shall send you our invoice at the address indicated by you during registration.

Invoices payment terms are 30 days from date of invoice or at least 10 working days before the start of the course, whichever is sooner.

9. Termination

We may terminate the licence granted to you by these additional terms  immediately by written notice to you if

  • you commit a material or persistent breach of this Licence which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so; or
  • a petition for a insolvency (and in case you are an employer entity petition for winding up) has been presented to the court which remains un-dismissed one month after filing the same; or
  • you (where you are a company) (i) become insolvent or unable to pay your debts, (ii) enter into liquidation whether voluntary or compulsory; (iii) pass a resolution for your winding-up, have a receiver or administrator manager, trustee, liquidator or similar officer appointed over the whole or any part of its assets, makes any composition or arrangement with your creditors or takes or suffer any similar action in consequence of its debt; or
  • we, for any reason are forced to re-call the products sold.

Upon termination of the licence terms for any reason:

  • all rights granted to you under the licence terms shall cease;
  • you must cease all activities authorised by the licence terms;
  • you must immediately pay to us any sums due to us under this Licence; and
  • you must immediately delete or remove the Training Materials or Documentation from all computer equipment in your possession, and immediately destroy or return to us (at our option) all copies of the Training Materials and Documentation then in your possession, custody or control and, in the case of destruction, certify to us that you have done so.

10. Transfer of rights and obligations

These licence terms are binding on you and us, and on our respective successors and assigns.

You may not transfer, assign, charge or otherwise dispose of the licence granted under these additional terms, or any of your rights or obligations arising under it, without our prior written consent.

We may transfer, assign, charge, sub-contract or otherwise dispose of these licence terms, or any of our rights or obligations arising under it, at any time during the term of these additional terms.
